1. Agreement to Terms
These Terms of Service (Terms) govern your access to and use of Focusly (the Service), provided by Ezra Devs Pty Ltd (ACN pending) from New South Wales, Australia. By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
Focusly is designed for students, including minors. If you are under 18, you must have permission from a parent, guardian, or school representative. You warrant that you have capacity to enter these Terms or have obtained appropriate consent. You may not use the Service if you are barred under applicable law or previously suspended for breach.
3. Our services
Focusly provides AI-powered study tools, including note summarisation, flashcard creation, question generation, exam practice, language practice, math tutoring, revision planning, and a workspace to store and organise study outputs. Features may evolve over time. We may introduce new modules or retire features with notice where practicable.
4. Accounts and security
You must provide accurate, current information and keep your credentials confidential. You are responsible for activity under your account. Notify us immediately of any unauthorised access. We may suspend or revoke access if we suspect misuse, fraud, or security risk.
5. Acceptable use
You must use the Service lawfully and responsibly. You must not:
- Breaches any law, regulation, or third-party rights (including copyright and privacy).
- Upload malicious code, attempt to gain unauthorised access, or disrupt the Service.
- Share accounts or circumvent usage limits, rate limits, or subscription controls.
- Use outputs for automated high-volume scraping or model training without our consent.
- Upload unlawful, abusive, defamatory, or inappropriate content (including harmful content directed at minors).
6. Academic integrity
Focusly is designed to support learning, not to facilitate cheating. You must follow your school’s or university’s academic integrity rules. Using AI-generated content as your own assessed work may breach those rules. You are responsible for how you use outputs and for citing sources appropriately.
7. User content and AI outputs
You retain ownership of the content you upload. You grant us a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, modify, and display that content solely to operate, improve, and provide the Service. We may anonymise or aggregate content for analytics and service improvement.
AI outputs are generated automatically and may be inaccurate or incomplete. Always verify important information with reliable sources. Do not rely on the Service for professional advice (including educational, legal, or medical).
8. Subscriptions and billing
Focusly offers free and paid plans. Paid subscriptions renew automatically at the end of each term unless cancelled. Prices include GST where applicable and may change; we will provide notice of changes before renewal. You authorise us and our payment processors to charge the payment method on file. Failed payments may lead to suspension or downgrade.
Upgrades take effect immediately with a prorated charge where applicable. Downgrades take effect at the next renewal period to avoid loss of features mid-cycle unless you request immediate downgrade.
9. Refunds and cancellations
Our Refund Policy (available at /refund) explains when refunds are available, including rights under the ACL for major failures. You may cancel at any time via account settings; access continues until the end of the paid period unless required otherwise by law.
10. Intellectual property
Focusly, including all software, branding, designs, and content we provide, is owned by us or our licensors and protected by intellectual property laws. Except for the limited rights granted by these Terms, no rights are transferred to you.
11. Privacy and data protection
Our handling of personal information is described in our Privacy Policy. By using the Service you consent to the collection and use of information as explained there, including the use of AI service providers. You must not upload personal information of others without consent where required by law.
12. Availability and changes
We aim to maintain reliable access but do not guarantee uninterrupted availability. Maintenance, updates, or third-party outages may impact the Service. We may modify or discontinue features; where changes materially reduce functionality for paid users, we will provide notice and options such as cancellation or pro-rated refunds consistent with the ACL.
13. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available.” We do not warrant that outputs will be error-free, accurate, or suitable for a particular purpose. Nothing in these Terms excludes or limits guarantees, warranties, or remedies that cannot be excluded under the ACL.
14. Limitation of liability
To the maximum extent permitted by law, our liability for any claim arising out of or in connection with the Service is limited to: (a) resupplying the services, or (b) paying the cost of having the services resupplied, at our election. We are not liable for indirect or consequential loss (including loss of data, profits, or opportunity), except where the ACL or another law does not allow such limitation.
15. Indemnity
You indemnify us from losses, damages, and reasonable costs arising from your breach of these Terms, misuse of the Service, or infringement of third-party rights, to the extent permitted by law. This indemnity does not apply to loss caused by our own negligence or wilful misconduct.
16. Suspension and termination
We may suspend or terminate access if you materially breach these Terms, misuse the Service, or if required by law. We will try to give notice where reasonable. Upon termination, your right to use the Service ends; provisions that by their nature should survive (e.g., intellectual property, limitations of liability) will continue.
17. Changes to these terms
We may update these Terms to reflect changes to the Service or applicable laws. We will post changes here with an updated “Last updated” date and, for material changes, provide reasonable notice (e.g., in-app or email). Continued use after changes become effective constitutes acceptance.
18. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia. Nothing limits your rights under the ACL to seek remedies in your local jurisdiction where required by law.
